1. FOUNDATION OF THE ASSOCIATION
The Association was founded in the City of Winnipeg, on June 10, 2014 by Yoslai Farramola De La Rosa.

2. STATUS
The Association shall be a non-profit organization

3. NAME
The Association shall be known as the Cuban Arts Collective of Manitoba Inc. hereinafter called “Association”. It will be opened for all those of Cuban nationality, family, and friends and to all residents across Canada.

4. OBJECTIVES
4.1 To unite and support all Cubans living in Manitoba, as well as all others who love and enjoy Cuba and our culture.
4.2 To maintain a non-political organization that preserves and promotes the Cuban Culture by organizing social, cultural and recreational activities for the community.
4.3 To establish and maintain relationships between different ethnic groups & festivals.
4.4 To promote and encourage an interest in the history, traditions, arts, crafts, culture and language of Cuba.
4.5 To sponsor/coordinate a Cuban Pavilion during the Folklorama Festival.

5. BOARD OF DIRECTORES & DUTIES
The Board of Directors shall conduct the affairs of the Association between meetings. It shall meet at the call of the Chair at which its members shall constitute a quorum (minimum of 3 members present; in the event that multiple members of a household have control of the vote, meeting must be rescheduled).

The Majority of the Board must be of Cuban Nationality.
The Officers of the Association must be a minimum of 5 and a maximum of 9 positions.
It shall be: Chair, Vice-Chair, Secretary, Treasurer and Auxiliary Board Member.
The initial 5 board of Directors where approved and ratified by the Membership present at October 8 2014 meeting.
The positions of the Board has initially been elected for a period of one year and then after be elected for a period of two years.
The Board shall operate with transparency and accountability to all of its members.

5.1 CHAIR POSITION
5.1.1 The Chair shall oversee the operations of the Association.
5.1.2 The Chair shall preside the Annual meeting of the Association, additional membership meetings called upon by the Board, as well as meetings of the Board of Directors and shall see that the business of the Association is carried out in an appropriate and transparent manner.
5.1.3 The Chair, Vice-Chair & the Treasurer must approve all the official documents of the Association.
5.1.4. This position must be held by someone of Cuban Nationality.
5.1.5. The Chair shall be the Spokesperson for the all media. In the absence of the Chair another member of the Board of Cuban Nationality will be selected by the Board of Directors.

5.2 VICE-CHAIR POSITION
5.2.1 The Vice-Chair shall assist The Chair and shall take special assignments
designated by the Chair.
5.2.2 The Vice-Chair shall assume, in the absence of the Chair,
the responsibilities in the office of the Chair.
5.2.3 The Vice-Chair shall notify the members of the Association about
the Annual General Meeting and of regular and special meetings.

5.3. SECRETARY POSITION
5.3.1The Secretary shall record and maintain the minutes of the Association and the Board meetings and the attendance at all meetings of the Association and the Board.
5.3.2 The Secretary shall have a copy of the bylaws at each Association and Board meeting.
5.3.3 The Secretary shall be the custodian of the current records of the Association
(minutes, records of attendance, etc...)
5.3.4 The Secretary shall keep an up today file of the name, address, birthday, telephone number and e-mail address of each member of the Association.
5.3.5. The Secretary shall ensure that all newly elected Board of Directors receive all old documents.
5.5.6. The Secretary shall receive all dues, fees, and other funds collected for the Association to later be submitted to the Treasurer for accountability and depositing of funds.
5.5.7. The Secretary shall provide promptly a Membership Card to those who have paid
the prescribed dues or fees.

5.4 TREASURER POSITION
5.4.1 The Treasurer shall deposit all funds of the Association to the credit of the Association in the corresponding financial institution.
5.4.2 The Treasurer shall prepare all cheques where expedition has been approved (all cheques require two signatures as noted in the Finance section of the By-Laws).
5.4.3 The Treasurer shall keep an accurate record of the financial transactions of the Association. The record shall be available at any time for examination by the Board.
5.4.4 The Treasurer shall prepare a Financial statement every month to be reviewed by the Board.
5.4.5. The Treasurer shall present a detailed report including a statement of the financial affairs of the Association, at the Annual General Meeting, to be held in the month of April.
5.4.6. The Treasurer shall prepare all Financial statements and reports pertaining to the filing of Taxes with CRA
5.4.7. the Treasurer shall initiate and present budgets for approval by the Board.

5.5. AUXILIARY BOARD MEMBER POSITION(S)
5.5.1. An Auxiliary Board Member must attend monthly Board meetings
5.5.2. An Auxiliary Board Member is to participate in the decision making process.

6. MEMBERSHIP
6.1 Membership shall be opened to all individuals over the age of 18 upon payment of the prescribed dues.
6.2 All the members are entitled to vote.
6.3 The membership of any individual in the Association may be revoked, without refund of dues, for actions deemed detrimental by the Association.
6.4 Annual Membership dues for the Association,, shall be based upon a 12 month period in the amount of $15.00 for an Individual and $25.00 for a Couple (“Couple” is defined by Spouse, Common-Law or Partner).

7. FINANCES
All cheque requisitions must by signed by two of the three Board of Directors with signing authority
(Chair, Vice-Chair and Treasurer).

8. AMENDMENT OF BY-LAWS
The bylaws may be amended by two-thirds majority vote of the regular members present at the meeting of the Association called for that purpose.

9. DISSOLUTION
In the event of dissolution of the Association all assets shall be converted into cash to pay off any remaining balances due by the Association. Any remaining funds will then be donated to a registered charity.
